Jetstar Asia Airways was formed in 2004 by Qantas (49.9%), a Singapore local public company Temasek Holdings (19%), Tony Chew (21.1%) and F. F. Wong (10%).

The airline commenced operations on December 17, 2004. Jetstar Asia took-over Valuair on July 24 2005 (with a merger expected to be completed by December 2005, under the Holding name of OrangeStar.) The proposed merger was eventually cancelled with both companies being kept separate.

The parent company, OrangeStar was purchased by a new entity NewStar in April 2009 (owned by Singapore Airlines with 51% and Qantas with 49%
